Agreement to Terms

By accessing or using Beatfinder ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Beatfinder is operated as a Wyoming Decentralized Nonprofit Association (DUNA), organized under Wyoming Statute § 17-31-101 et seq.

Description of Service

Beatfinder is a music price comparison platform that helps users find the best prices for music tracks across multiple online music stores and platforms, including but not limited to:

• iTunes/Apple Music
• Amazon Music
• Bandcamp
• Beatport
• 7Digital

The Service allows users to import playlists from Spotify, Tidal, and other platforms, and search for track availability and pricing information.

User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Impersonate any person or entity or misrepresent your affiliation
• Transmit viruses, malware, or other harmful code
• Collect or harvest information about other users without consent
• Use the Service to compete with Beatfinder or create a similar service

Third-Party Services

Beatfinder integrates with third-party music platforms (Spotify, Tidal, etc.) and displays pricing information from various music stores. These third-party services have their own terms of service and privacy policies.

We are not responsible for:

• The availability, accuracy, or content of third-party services
• Pricing information provided by third-party stores (which may change)
• Your purchases from third-party music stores
• Issues arising from your use of third-party services

Intellectual Property

Our Content

The Service, including all content, features, and functionality, is owned by Beatfinder and is protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of any content you submit to the Service (playlists, session data, artist profiles). By submitting content, you grant us a license to use, store, and display that content as necessary to provide the Service.

Third-Party Content

Music metadata, artwork, and pricing information are provided by third-party services and remain the property of their respective owners.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Accuracy, completeness, or reliability of pricing information
• Availability of tracks on third-party platforms
• Uninterrupted or error-free operation of the Service
• Security of data transmission over the internet

We do not guarantee that pricing information is current or accurate at the time of purchase. Always verify prices on the retailer's website before making a purchase.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEATFINDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to or use of your account
• Any conduct or content of third parties on the Service
• Pricing discrepancies or errors
• Issues with third-party music platforms or stores

Indemnification

You agree to indemnify, defend, and hold harmless Beatfinder and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

Wyoming DUNA Structure

Beatfinder operates as a Wyoming Decentralized Nonprofit Association (DUNA) under Wyoming Statute § 17-31-101 et seq. As a DUNA:

• We operate on decentralized principles while maintaining legal recognition
• We are organized for nonprofit purposes
• We are governed by our association members and bylaws
• We do not operate for the financial benefit of private individuals

Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

We implement industry-standard security measures and benefit from Base44 platform's enterprise-grade security infrastructure, including:

• AES-256 encryption for data at rest
• TLS 1.3 for data in transit
• Regular security audits and updates
• Secure hosting via Cloudflare

Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

1. Good faith negotiation between the parties
2. If negotiation fails, binding arbitration in Wyoming
3. Limited exceptions for injunctive relief may be pursued in court

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Beatfinder regarding the Service and supersede all prior agreements and understandings.
